From what I understand if it is the same size motor you should be fine. My brother has a 2000 3.0 and I have 2004 3.0 and the motors are the same. There are some small improvements on mine but nothing that should be a deal breaker for you.

'04 will be a 4.0l SOHC, and an '01 will be a 4.0l SOHC, so you are fine to do the swap.

Should be plug and play, unless '01 is from a 2WD, then you would need to swap oil pan and oil pump pick up tube to fit your 4WD.

'97 to '03 also had the older design timing chain, tensioners and cassettes, so unless it has been changed already I would do that while engine is out.

And you always changed the rear main seal on any engine swap

I have to add to ron's post, those first few years of the SOHC motor were problematic. I'd go the other way and look for 04+ motors. To each their own and if you are in possession of it already then keep it. Just be aware of the problems the timing chains gave.
